HP REAL Application Terms of Use (“Terms of Use”) – Greater Asia

The HP REAL Application (the “App”) is provided by HP PPS Singapore (Sales) Pte. Ltd. (“HP”), and provides the following Users with the ability (at HP’s discretion) to communicate with, and submit content and/or data to, HP in connection with the reporting of sales, operational, and retail-related data to HP (separately and collectively, the “Service”):

  • (a) HP-authorised partners having a valid partner agreement in force with an HP Affiliate (i.e. an entity controlling, controlled by, or under common control with, HP Inc.) in the Greater Asia Market (“HP Partners”);
  • (b) HP Extended Sales Force (i.e. employees and/or personnel of vendors to HP and/or its Affiliates, which vendors provide sales representatives for deployment at the retail locations of HP Partners);
  • (c) vendors of HP or HP Affiliates; and
  • (d) personnel of HP or HP Affiliates.

Please read these Terms of Use carefully before using the Service and/or App. These Terms of Use are between HP and you (“You”, “you”, or a “User”), whether it is for your personal use or if you are registering and using the Service and/or App (as defined in these Terms of Use) on behalf of your employer.

These Terms of Use govern your use of the Service and App. In order to use certain Service or App offerings, you may need to agree to supplemental or other terms and conditions ("Other Agreements").

To use the Service and/or App, you must indicate that you have read these Terms of Use and agree to be legally bound by clicking all of the applicable “I Agree” boxes that appear during the process of logging into the App. Your use of the Service and/or App is entirely conditioned on, and subject to, your compliance with these Terms of Use. By using the Service and/or App, you agree you understand and accept these Terms of Use. If you do not agree with the terms of these Terms of Use, do not use the Service or App.

  • Introduction
    • In order to use the Service and/or App, you will need to have an App account. HP will provide App accounts to eligible Users for App access. HP will register eligible Users from time to time and create User accounts allowing them to access and use the Service and App. Details of the User Accounts (including login details) will be communicated to Users via their email account registered with HP. As part of this process, HP is required to collect certain personal information about you. You agree to allow HP to collect and use your personal information (including your name, contact details, employment details, performance metrics, interaction logs relating to usage of the Service and App, usage statistics of the Service and App, date of Service registration, IP address, and other non-personal technical information) and as otherwise described on the App or a site related to the Service applicable to your location or country selected upon registration (collectively, the "Site") (such personal information shall be referred to as “Personal Data”). HP may retain copies of the Personal Data that you provide while using the Service and App. Details regarding how those copies will be retained by HP and other details regarding Service features are set forth in the App, on the Site, or may be available by connecting with HP at www.hp.com/support or emailing here realsupport@hp.com.. You agree that HP may use such Personal Data in accordance with the provisions of the HP Privacy Statement located at www.hp.com/go/privacy. HP may access and disclose your account information for the following purposes: (a) to provide you with technical support, updates, and address Service or App technical issues; (b) to investigate compliance with these Terms of Use; and/or (c) to enforce these Terms of Use. HP may also access and disclose your account information to ensure that the Service and App are not being used for fraudulent or illegal purposes, you are not acting in such a way as to threaten the security of the Service or App, or as HP determines is necessary to provide the Service or App or comply with applicable law.
    • HP provides individuals with reasonable access to Personal Data that they provide to HP and the reasonable ability to review and correct it, or ask for anonymisation, blockage, or deletion (as applicable). To protect your privacy and security, we will also take reasonable steps to verify your identity, such as requiring a password and user ID, before granting access to your Personal Data. To view and change the Personal Data that you directly provided to HP, you can access and change your personal account information by informing your local country Retail Management team. You may also contact the contact person referred to below.
    • Agreement to Contract Electronically. Your use of the Service and App signifies your agreement to contract with HP electronically. This means that when you click the button to accept these Terms of Use, you are agreeing to all of the terms in these Terms of Use with the intent of entering into a contract with HP. In addition, HP may communicate with you by email or through the App. You agree that all such notices and other communications that HP provides to you electronically satisfy any legal requirement that such communications be in writing. You represent that you are at least eighteen years of age and of the required age to legally enter into a contract in your jurisdiction of residence and, if applicable, you are duly authorised by your employer to enter into this contract on behalf of your employer.
    • Other Agreements. In order to use certain Service and/or App offerings, you may need to agree to supplemental or other terms and conditions (“Other Agreements”). Without limiting the foregoing, applications, or other software made available through the Service and/or App are licensed, not sold, to you. Unless otherwise specified by HP, your licence to each application and other software that you obtain through the Service and/or App is subject to your acceptance of the applicable end user license agreement provided to you by HP for such software, unless the application or other software is licensed under a separate end user license agreement entered into between you and a third-party licensor of that software, in which case the terms of that separate end user license agreement will govern.
    • System Requirements. Use of the Service and/or App may require one or more of the following: compatible equipment enabled for internet connection, wireless access (if applicable), internet access, and certain software, and may require obtaining updates or upgrades from time to time, and any relevant requirements for the Services that HP may inform you of from time to time. Your ability to use the Service and/or App may be affected by these factors. You are responsible for obtaining and maintaining all equipment and services needed for access to, and use of, the Service and App, and for paying all costs related thereto. In case you are not able to meet the System Requirements at your own cost, do not use the Service and/or App, and your sole recourse shall be to cease using the Service and/or App.
    • All communications related to the Service and the App will be directed to the contact details provided by the User in connection with registration for their App account. Users are responsible for keeping their registration details and any other information communicated to HP updated. Any changes to the same should be reported to the HP REAL App Administrator in writing via email to appassist.hpreal@hp.com.
  • Modifications and Termination
    • Modifications to these Terms of Use.
      • HP may, in its sole discretion, change these Terms of Use at any time by giving notice to you as follows: at least thirty (30) days prior to the modification taking effect or a shorter period if required to continue to provide the Service (unless a greater period is required by law, in which case such greater period shall apply), HP will notify you of any modifications to the Terms of Use by sending an email message to the email address listed for your App account, by posting a notice in the App, or by any other means required and/or permitted by law.
      • If you do not accept and/or agree to the Terms of Use, do not use the Service and the App. Your sole recourse in the event that you do not agree to any changes to these Terms of Use as referred to in this Section 3.1 shall be to cease using the Service and App, and to cancel it by following the directions in Section 3.8 of this document.
      • By continuing to use the Service and App after we post any such changes as described above, you accept the Terms of Use as modified, as of the effective date of the modification.
      • HP’s obligations with respect to the Service and the App are governed solely by these Terms of Use. Certain provisions of these Terms of Use may be superseded by expressly-designated legal notices posted on the App and/or otherwise communicated to you as required by law. In such circumstances, the expressly-designated legal notice shall be deemed to be incorporated into these Terms of Use and to supersede the provision(s) of these Terms of Use that are designated as being superseded.
    • Modifications to the Service.
      • HP, in its sole discretion, may modify the Service or App, or any part, version, or feature thereof, at any time by giving notice to you as follows: at least thirty (30) days prior to the modification taking effect or a shorter period if required to continue to provide the Service (unless a greater period is required by law, in which case such greater period shall apply), HP will notify you of any modifications to the Service or App by sending an email message to the email address listed for your App account, by posting a notice in the App, or by any other means required and/or permitted by law.
      • HP may terminate the provision of a Service (and the provision of such Service via the App) to you if you actively reject the Service, or if (in the event you are prompted to accept the Service) you fail to do so within the period specified for such acceptance. If you do not accept and/or agree to the modifications, then discontinue using the Service and App and cancel it by following the directions in Section 3.8 of these Terms of Use.
      • If, after the modification to the Service or App, you do not comply with any obligation under these Terms, the Service and your access to (or use of) the App may be terminated by HP at its sole discretion and HP will not be liable to you for any modification, suspension, or discontinuation of the Service or App.
    • HP reserves the right to close User accounts where you cease to qualify as a User (as defined above).
    • These Terms of Use are effective unless terminated pursuant to these Terms of Use. These Terms of Use will also terminate upon conditions set forth elsewhere in these Terms of Use.
    • You may discontinue your use of the App at any time. To deactivate, and hence terminate, your App account, contact HP through the Help or support link in the App, or contact the contact person referred to in Section 23 below. Please note that any discontinuation of you use of the App may adversely affect your relationship with HP, including (but not limited to) your incentives, ability to meet performance targets and metrics, ability to validly report performance and achievements, and eligibility to participate in programs.
    • In the event of a material breach, including (but not limited to): (i) infringement of HP's or others’ intellectual property rights, (ii) where your conduct is harmful to other Users or to the business of HP, (iii) failing to comply with these Terms of Use, or (iv) abusing privileges provided by HP under these Terms of Use, HP will have the right to immediately terminate these Terms of Use (and your access to the App and receipt of the Service) on written notice if you fail to remedy the breach within a period of seven (7) days after being notified in writing of the details. HP's decision is final and non-appealable.
    • Post-termination. Upon termination or suspension of your account, we may remove and discard all content and data uploaded or otherwise stored by you or on your behalf through the App. You agree that HP will not be liable to you or to any third-party for any termination, or refusal, of access to the App, or for removal or destruction of your content and data, or for any failure to notify you of the same. Upon termination of your App account (whether such termination is the result of termination by you or by HP), any rights granted to you under these Terms of Use will terminate and you must immediately cease all access to and use of the App and related software.
  • Data Submission & Your Additional Representations
    • Your Additional Representations. By using the Service and/or the App, you hereby represent and warrant that:
      • you have the legal right, capacity, and authority of any entity named on the registration page to enter into these Terms of Use with HP, and be legally bound by its terms;
      • any and all information provided by you to HP in connection with the Service and/or the App (including (without limitation) content, data, and Personal Data) is true, accurate, and complete, and you will notify HP of any change to such information. Any submission of inaccurate, incomplete, or false information will constitute a breach of your obligations under these Terms of Use and may result in legal action by HP and/or the termination of your access to the App and receipt of the Service. If you disagree with the information relating to you captured and/or shown in the App, you should promptly report it to your HP representative or reporting manager;
      • you shall not engage in abusive or inappropriate activities with respect to the Service or the App, or create an unreasonably high volume of support requests.
      • you are responsible for maintaining the confidentiality of your App account password; you are solely responsible for all activities that occur under your password or accounts; you agree (a) not to share your passwords, (b) not let anyone else access your passwords or do anything else that might jeopardize the security of your passwords, and (c) notify HP immediately of any unauthorised use of your passwords or any other breach of security related to the App or the Service. HP reserves the right to require you to change your passwords if HP believes that your passwords are no longer secure; and
      • you are solely responsible for procuring and maintaining: (a) the network connections that connect your network to HP's systems, as well as any firewalls, authentication methods, and encryption methods HP deems appropriate; and (b) any hardware of yours located at your site and/or utilised in connection with the Service and/or App. HP assumes no responsibility for the reliability or performance of any connections or hardware.
    • No Responsibility for Third-Party Materials. Certain content, data, applications, services, products, and other materials available via the Service and the App may be from third parties or may include materials from third parties. You agree that HP is not responsible for any such third-party content, applications, services, products, or other materials (collectively, “Third Party Materials”). HP does not warrant or endorse, and will not have any liability or other responsibility for, any Third Party Materials. Your use of such Third Party Materials is entirely at your own risk and may be subject to additional terms and conditions with the Third Party Material providers. THIS SECTION 4.2 IS SUBJECT TO THE EXCLUSIONS AND LIMITATIONS SET OUT IN SECTION 16 AND WILL APPLY TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW.
    • Users must upload required details relating to their applicable monthly sellout targets (if any) using the relevant App template (or such template as otherwise provided to Users by HP or its Affiliates) one (1) calendar week before the start of each new calendar month.
    • Where the User has applicable sellout performance metrics or targets, such User shall submit to HP details of their sellout performance (including details of each sale made that contributes to overall sellout performance) via the App within three (3) calendar days after the date of the relevant end user sales invoice.
    • Users who are part of the HP Extended Sales Force shall submit to HP details of the times at which they begin and end their shifts or work as HP Extended Sales Force team members (also known as: Check In / Check Out times) via the App on daily (except for any non-working days, including public holidays and leave days).
    • Users who are part of the HP Extended Sales Force shall submit to HP details on when they will be on leave via the App at least 5 days in advance of the date such leave begins. For the avoidance of doubt, this requirement is to notify HP of upcoming leave for manpower planning and monitoring purposes. HP is not involved in approving or granting any such leave.
    • HP will validate any data submitted through the App via its backend systems.
    • Any failure to upload data or details as required above may adversely affect your achievement of (or ability to achieve) relevant performance targets or metrics (for e.g. sellout not reported in a timely manner may not count towards relevant performance targets) and, therefore, your entitlement to any incentives.
  • Dashboard and Reports
    • Notwithstanding any other terms in these Terms of use, the availability and content of the Dashboard in the App and reports in the App are subject to change at HP’s sole discretion.
    • You may not upload duplicate data entries, as this may result in your submissions being rejected and/or not counting towards your applicable performance metrics or targets.
  • Indemnification
    • You agree to indemnify, defend, and hold harmless the HP Parties from and against any and all claims, liabilities, damages, losses, costs, expenses, and fees (including, without limitation, reasonable attorneys' fees) that such HP Parties may incur as a result of or arising from your violation of these Terms of Use (or that of anyone using your App account).
    • HP reserves the right to assume the exclusive defence and control of any matter otherwise subject to indemnification by you and, in such case, you agree to cooperate with HP’s defence of such claim.
  • Indemnification
    • Links from the Service and the App to third-party websites are provided solely as a convenience to you. If you use these links, you will leave the App. HP does not control, and is not responsible for, such third-party websites (or the products, services, content, or other materials made available through them), and does not endorse or make any representations about such third-party websites and the products, services, content, or other materials provided via them. The HP Privacy Statement is not in effect at third-party websites and HP is not responsible for any use of your information by third-party websites. If you decide to access any third-party websites linked to from the Service or the App, you do so entirely at your own risk and may be subject to additional terms and conditions.
  • Trademarks
    • “HP REAL”, “HP REAL App”, “HP”, and any other product or service name, slogan, or logo contained in the Service or in the App are trademarks of HP and its suppliers or licensors and may not be copied, imitated, or used, in whole or in part, without the prior written permission of HP or the applicable trademark holder.
    • You may not use any metatags or any other hidden text utilising any name, trademark, or product or service name, of HP without HP's prior written permission. In addition, the look and feel of the App (including, but not limited to, all page headers, custom graphics, button icons, and scripts) are the service marks, trademarks, and/or trade dress of HP and may not be copied, imitated, or used (in whole or in part) without HP's prior written permission.
  • Intellectual Property Rights.
    • You will not gain, by virtue of your use of the Service or the App, any rights of ownership of copyrights, patents, trade secrets, trademarks, or any other intellectual property rights owned by HP.
    • You may not reverse engineer, decompile, or disassemble the Service or App, except and only to the extent that the right to do so is mandated under applicable law notwithstanding this limitation or it is expressly provided for in these Terms of Use.
  • Procedures for Making Claims of Infringement.
    • HP respects the intellectual property rights of others. Pursuant to applicable law, HP has implemented procedures for receiving written notification of claimed copyright infringement and for processing such claims in accordance with such law. If you believe your copyright or other intellectual property right is being infringed by a User of the Service or the App, please provide written notice to the following HP agent or other designated party for notice of claims of infringement:

      Please do not send notices or inquiries unrelated to alleged copyright or other intellectual property right infringement to HP's designated agent, as they will be deleted upon receipt.
  • Prohibited Uses
    • You agree not to use the Service (including, without limitation, any content you may obtain through your use of the Service) or the App: (a) in a manner that violates any statute, regulation, rule, order, treaty, or other law of any local, state, national, foreign, or international jurisdiction; (b) to stalk, harass, or harm another individual, including, without limitation, through abuse of any violation flagging or reporting mechanisms made available through the Service or the App; (c) to impersonate any person or entity or otherwise misrepresent your affiliation with a person or entity; or (d) to interfere with or disrupt the Service or the App or servers or networks connected to the Service or the App.
    • You further agree not to: (a) use any data mining, robots, or similar data gathering or extraction methods in connection with the Service or the App; (b) attempt to gain unauthorised access to or monitoring of any portion of the Service or the App, or any other accounts, computer systems, or networks connected to the Service or the App, whether through hacking, password mining, or any other means; (c) take any other action to disrupt the normal use by other users of the Service, the App, or the internet; (d) reproduce, sell, or exploit the Service or the App; or (e) otherwise, in HP's sole determination, abuse the Service or the App.
  • Prohibited Content
    • You are solely responsible for the content you or anyone using your App account generates, posts, transmits, distributes, prints or otherwise stores through the Service or the App.
    • You may not use the Service or the App to generate, post, transmit, distribute, print or otherwise store content that HP believes or reasonably believes: (a) is abusive, deceptive, pornographic, obscene, defamatory, slanderous, offensive, or otherwise inappropriate; (b) comprises copyrighted material used without the express permission of the owner or otherwise infringes the proprietary rights of another; (c) violates or otherwise encroaches on the rights of others; (d) contains viruses, worms, corrupt files, Trojan horses or other forms of corruptive code, or any other content which may compromise the Service or the App; (e) advocates illegal activity; (f) hacks, destabilizes or adapts the Service or the App, or alters another website to falsely imply it is affiliated with the Service or the App; (g) uses any automated means (including robots, spiders or scripts) to access the Service or the App; (h) broadcasts or sends any form of advertising, mass communication or solicitation to Service or App users; (i) harasses or harms anyone; (j) you do not have the right to make available under any law or contractual or fiduciary relationship; (k) intentionally or unintentionally violates any applicable law; (l) could subject HP to any legal liability; or (m) provides a link to any of the above (“Prohibited Content”).
    • HP has sole discretion to determine whether content is Prohibited Content. Without prior notice to you, any content may be subject to examination and may be subject to disclosure to law enforcement or to otherwise satisfy any law, regulation or governmental request (including, without limitation, compliance with warrants, court orders and subpoenas). Although HP does not examine or otherwise review all content generated, posted, transmitted, distributed, printed or otherwise stored using the Service or the App, HP may delete or remove content for any reason, at any time, without notice, unless prohibited by law.
  • Preservation of Your Original Content
    • You understand that your use of the App may involve (a) transmitting content and data over various networks, and (b) changes to the content and data to conform and adapt to technical requirements of connecting networks or devices. You should always preserve your original content and data or make back-up copies of such content and data on your own systems. You should not use the Service or App as the only repository for your content and data.
  • End User Licence Agreement (EULA)
    • Without prejudice to any other terms of these Terms of Use, your use of the App is also subject to the terms and conditions of the End User Licence Agreement, which can be found here: EULA.
  • DISCLAIMER OF WARRANTIES
    • EXCEPT TO THE EXTENT PROHIBITED BY LAW:
      • THE SERVICE AND THE SITE (INCLUDING THE APP) ARE PROVIDED "AS IS" AND “AS AVAILABLE”, WITH ALL FAULTS; HP EXPRESSLY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY OR OTHERWISE, WITH RESPECT TO THE SERVICE AND THE APP (INCLUDING, BUT NOT LIMITED TO, ANY IMPLIED OR STATUTORY WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR USE OR PURPOSE, TITLE, AND NON-INFRINGEMENT OF INTELLECTUAL PROPERTY RIGHTS);
      • WITHOUT LIMITING THE GENERALITY OF THE FOREGOING, HP MAKES NO WARRANTY THAT THE SERVICE OR THE APP WILL MEET YOUR REQUIREMENTS OR THAT THE SERVICE OR THE APP WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR FREE, OR THAT DEFECTS IN THE SERVICE OR THE APP WILL BE CORRECTED; HP MAKES NO WARRANTY AS TO THE RESULTS THAT MAY BE OBTAINED FROM THE USE OF THE SERVICE OR THE APP, THE ACCURACY OR RELIABILITY OF ANY INFORMATION OBTAINED THROUGH THE SERVICE OR THE APP, OR AS TO THE ACCURACY OF PRINTING ENABLED VIA THE SERVICE;
      • NO ADVICE OR INFORMATION, WHETHER ORAL OR WRITTEN, OBTAINED BY YOU THROUGH THE SERVICE OR THE APP OR FROM HP, ITS PARENTS, SUBSIDIARIES, OR OTHER AFFILIATED COMPANIES (OR THE RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS OF ANY SUCH ENTITIES) (COLLECTIVELY, THE “HP PARTIES”) SHALL CREATE ANY WARRANTY; AND
      • WITHOUT LIMITING THE FOREGOING, HP WILL NOT BE LIABLE FOR ANY LOSS OF DATA OR OTHER CONTENT, MALFUNCTIONS, ERRORS, CRASHES OR OTHER ADVERSE EFFECTS THAT MAY OCCUR FROM YOUR USE OF THE SERVICE OR THE APP.
    • YOU UNDERSTAND AND AGREE THAT THE SUBMISSION OF ANY CONTENT, DATA, OR OTHER MATERIAL VIA THE APP, AND THE DOWNLOAD OR UPLOAD OF ANY CONTENT, DATA, OR OTHER MATERIAL THROUGH THE APP, IS DONE AT YOUR OWN DISCRETION AND RISK AND THAT YOU WILL BE SOLELY RESPONSIBLE FOR ANY LOSS OR DAMAGE TO YOUR CONTENT OR DATA, OR ANY DAMAGE TO YOUR COMPUTER SYSTEMS OR PRINTERS OR LOSS OF CONTENT OR DATA, THAT MAY RESULT FROM THE DOWNLOAD OR UPLOAD OF ANY CONTENT, DATA, OR OTHER MATERIALS VIA THE SERVICE, THE APP, OR OTHERWISE FROM YOUR USE OF THE SERVICE OR THE APP.
    • THIS SECTION 14 IS SUBJECT TO THE EXCLUSIONS AND LIMITATIONS SET OUT IN SECTION 16 AND WILL APPLY TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW.
  • LIMITATION OF LIABILITY
    • TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT WILL HP BE LIABLE FOR ANY DAMAGES FOR LOSS OF REVENUES, LOSS OF PROFITS, LOSS OF GOODWILL, LOSS OF USE, BUSINESS INTERRUPTION, INDIRECT, SPECIAL, INCIDENTAL, OR CONSEQUENTIAL DAMAGES WHATSOEVER , ARISING OUT OF OR IN ANY WAY RELATED TO THE SERVICE OR THE APP (INCLUDING, WITHOUT LIMITATION, USE, INABILITY TO USE, OR THE RESULTS OF USE OF THE SERVICE OR THE APP OR ANY CONTENT OR OTHER MATERIALS MADE AVAILABLE VIA THE SERVICE OR THE APP OR OTHERWISE IN CONNECTION WITH THE SERVICE OR THE APP, OR SECURITY BREACHES OR ERRORS RELATED TO THE SERVICE OR THE APP), WHETHER SUCH DAMAGES ARE BASED ON WARRANTY, CONTRACT, TORT, STATUTE, OR ANY OTHER LEGAL THEORY, AND EVEN IF HP HAS BEEN ADVISED OR SHOULD HAVE KNOWN OF THE POSSIBILITY OF SUCH DAMAGES. YOU FURTHER AGREE THAT, EXCEPT AS PROHIBITED BY LAW, IN NO EVENT WILL HP’S AGGREGATE MAXIMUM LIABILITY ARISING OUT OF ANY KIND OF CLAIM IN ANY WAY CONNECTED WITH THE SERVICE OR THE APP EXCEED THE EQUIVALENT OF US$5.00.
  • Exclusions and Limitations
    • 1Some jurisdictions do not allow the: (a) exclusion of implied warranties or limitations on the duration of implied warranties, and/or (b) exclusion or limitation of particular types of damages. Accordingly, the disclaimers and/or limitations and/or exclusions above may not apply to you in their entirety.
    • If HP fails to comply with these Terms of Use, HP is responsible for loss or damage you suffer that is a foreseeable result of HP breaching these Terms of Use or HP failing to use reasonable care and skill, but HP is not responsible for any loss or damage that is not foreseeable. Loss or damage is foreseeable if: (a) it is obvious that it will happen, or (b) at the time the relevant contract was made, both HP and you knew it might happen (for example: if you discussed it with HP beforehand).
    • HP does not exclude or limit in any way our liability to you where it would be unlawful to do so. This includes liability for: (a) death or personal injury caused by our negligence or the negligence of our employees, agents, or subcontractors, or (b) fraud or fraudulent misrepresentation.
    • 16.4. If you use the Service or the App for or in connection with any commercial, business, or re-sale purposes, HP will have no liability to you for any loss of profit, loss of business, business interruption, or loss of business opportunity.
  • Compliance with laws, including export laws
    • You agree to comply with all applicable laws and regulations.
    • Without limiting the foregoing, by using the Service or the App, you are responsible for compliance with U.S. and other applicable countries' export control and other applicable laws and regulations (“Export Laws”). You will comply with all Export Laws to ensure that the Service, App, and any other materials, including but not limited to technical data, are not: (a) exported or re-exported, directly or indirectly, in violation of Export Laws, or (b) used for any purpose prohibited by Export Laws, including without limitation nuclear, chemical, or biological weapons proliferation.
    • Without limiting the foregoing, you agree that you will not use the Service or the App to export or re-export any material whatsoever, including (without limitation) technical data: (a) into any U.S. embargoed countries, or (b) to anyone on the U.S. Treasury Department’s list of Specially Designated Nationals or the U.S Commerce Department’s Table of Deny Orders. You represent and warrant that you are not located in, under the control of, or a national or resident of any such country on any such list.
    • If you choose to access or use the Service or App outside the country where you reside or are located, or your local country determined upon registration (if applicable), (a) you agree to comply with all applicable laws and regulations where you use the available Service and App; and (b) you agree you are responsible for any and all damages, and HP shall not be held responsible, for your use of the available Service or App in English or in any other language in which HP may provide the Service or App.
  • Subcontractors
    • In connection with the Service and the App, HP may use third-party data centres to store, monitor, and maintain the hardware equipment on which your information (including, but not limited to, the content and data submitted by you via the App) is stored (“Data Centres”). HP may also use subcontractors under these Terms of Use in the performance of the Service and provision of the App. With respect to all subcontractors which HP utilises in connection with the Service and provision of the App (the “Third Party Vendors”), HP will assume the same liability and responsibility for subcontractors’ conduct and performance as if HP itself performed all of the subcontractors’ services. You will not incur any additional fees, costs, or charges with regard to any subcontract.
  • Governing Law
    • These Terms of Use shall be construed under, and governed by, the laws of Singapore, without regard to its choice of law principles or conflict of laws rules. The parties hereby irrevocably submit to the jurisdiction of the courts of Singapore.
  • Entire Agreement & General
    • HP may update Users on changes to applicable incentives, User achievements, programs, and other news through the App achievements.
    • In cases of fraud, HP may cancel and/or terminate contracts with Users.
    • You must not disclose or share any information regarding the Service or the App, including Terms of Use, achievements, or other related materials, with third parties.
    • The Terms of Use and other applicable HP terms expressly referenced in these Terms of Use or in the App, constitute the entire understanding between you and HP relating to the Service and the App and will supersede any previous communication, representation or agreement whether oral or written.
    • HP’s failure to exercise any right under these Terms of Use will not constitute a waiver of such right.
    • You may not assign these Terms of Use by operation of law or otherwise. All HP Affiliates are third-party beneficiaries with respect to the provisions in these Terms of Use that reference them. Except as expressly provided in these Terms of Use, a person who is not a party to these Terms of Use (as effective between you and HP) shall have no right under the Singapore Contracts (Rights of Third Parties) Act 2001 to enforce any term of, or enjoy any benefit under, these Terms of Use.
    • The section titles in these Terms of Use are for convenience only and have no legal or contractual effect.
    • If any provision of these Terms of Use is found by a court of competent jurisdiction to be invalid, the parties agree that the court should endeavour to give effect to the Parties’ intentions as reflected in the provision, and the other provisions of the Terms of Use will remain in full force and effect.
    • All terms in these Terms of Use that by their nature would survive termination (including, but not limited to, those related to the HP Parties’ liability and to applicable law and venue) will survive termination.

Ketentuan Penggunaan Aplikasi HP REAL ("Ketentuan Penggunaan") – Asia Raya

Aplikasi HP REAL ("Aplikasi") disediakan oleh HP PPS Singapore (Sales) Pte. Ltd. (“HP”), dan memberikan kemampuan kepada Pengguna berikut (atas kebijaksanaan HP) untuk berkomunikasi dengan, dan mengirimkan konten dan/atau data kepada, HP sehubungan dengan pelaporan data penjualan, operasional, dan terkait ritel kepada HP (secara terpisah dan kolektif, "Layanan"):

  • (a) Mitra resmi HP yang memiliki perjanjian mitra yang sah yang berlaku dengan Afiliasi HP (yaitu entitas yang mengendalikan, dikendalikan oleh, atau di bawah kendali bersama dengan, HP Inc.) di Pasar Asia Raya ("Mitra HP");
  • (b) Tenaga Penjualan HP yang Diperluas (yaitu karyawan dan/atau personel vendor untuk HP dan/atau Afiliasinya, yang disediakan oleh vendor untuk perwakilan penjualan untuk ditempatkan di lokasi ritel Mitra HP);
  • (c) vendor HP atau Afiliasi HP; dan
  • (d) personel HP atau Afiliasi HP.

Harap baca Ketentuan Penggunaan ini dengan seksama sebelum menggunakan Layanan dan/atau Aplikasi. Ketentuan Penggunaan ini merupakan perjanjian antara HP dan anda ("Anda", "anda", atau "Pengguna"), baik untuk penggunaan pribadi anda atau jika anda mendaftar dan menggunakan Layanan dan/atau Aplikasi (sebagaimana didefinisikan dalam Ketentuan Penggunaan ini) atas nama perusahaan Anda.

Ketentuan Penggunaan ini mengatur penggunaan Layanan dan Aplikasi oleh anda. Untuk menggunakan Layanan atau penawaran Aplikasi tertentu, anda mungkin perlu menyetujui syarat dan ketentuan tambahan atau lainnya ("Perjanjian Lainnya").

Untuk menggunakan Layanan dan/atau Aplikasi, anda harus menunjukkan bahwa anda telah membaca Ketentuan Penggunaan ini dan setuju untuk terikat secara hukum dengan mengklik semua kotak "Saya Setuju" yang berlaku yang muncul selama proses masuk ke Aplikasi. Penggunaan Layanan dan/atau Aplikasi oleh anda sepenuhnya dikondisikan pada, dan tunduk pada, kepatuhan anda terhadap Ketentuan Penggunaan ini. Dengan menggunakan Layanan dan/atau Aplikasi, anda setuju bahwa anda memahami dan menerima Ketentuan Penggunaan ini. Jika anda tidak setuju dengan ketentuan Ketentuan Penggunaan ini, jangan gunakan Layanan atau Aplikasi.

  • Pendahuluan
    • Untuk menggunakan Layanan dan/atau Aplikasi, anda harus memiliki akun Aplikasi. HP akan menyediakan akun Aplikasi kepada Pengguna yang memenuhi syarat untuk akses Aplikasi. HP akan mendaftarkan Pengguna yang memenuhi syarat dari waktu ke waktu dan membuat akun Pengguna yang memungkinkan mereka untuk mengakses dan menggunakan Layanan dan Aplikasi. Rincian Akun Pengguna (termasuk detail login) akan dikomunikasikan kepada Pengguna melalui akun email mereka yang terdaftar di HP. Sebagai bagian dari proses ini, HP diwajibkan untuk mengumpulkan informasi pribadi tertentu tentang anda. Anda setuju untuk mengizinkan HP mengumpulkan dan menggunakan informasi pribadi anda (termasuk nama, rincian kontak, rincian pekerjaan, metrik kinerja, log interaksi yang berkaitan dengan penggunaan Layanan dan Aplikasi, statistik penggunaan Layanan dan Aplikasi, tanggal pendaftaran Layanan, alamat IP, dan informasi teknis non-pribadi lainnya) dan sebagaimana dijelaskan di Aplikasi atau situs yang terkait dengan Layanan yang berlaku untuk lokasi atau negara anda yang dipilih saat pendaftaran (secara kolektif, "Situs") (informasi pribadi tersebut akan disebut sebagai "Data Pribadi"). HP dapat menyimpan salinan Data Pribadi yang anda berikan saat menggunakan Layanan dan Aplikasi. Rincian mengenai bagaimana salinan tersebut akan disimpan oleh HP dan rincian lain mengenai fitur Layanan tercantum dalam Aplikasi, di Situs, atau mungkin tersedia dengan terhubung dengan HP di www.hp.com/support atau mengirim email di sini realsupport@hp.com. Anda setuju bahwa HP dapat menggunakan Data Pribadi tersebut sesuai dengan ketentuan Pernyataan Privasi HP yang terletak di www.hp.com/go/privacy. HP dapat mengakses dan mengungkapkan informasi akun anda untuk tujuan berikut: (a) untuk memberi anda dukungan teknis, pembaruan, dan mengatasi masalah teknis Layanan atau Aplikasi; (b) untuk menyelidiki kepatuhan terhadap Ketentuan Penggunaan ini; dan/atau (c) untuk menegakkan Ketentuan Penggunaan ini. HP juga dapat mengakses dan mengungkapkan informasi akun anda untuk memastikan bahwa Layanan dan Aplikasi tidak digunakan untuk tujuan penipuan atau ilegal, anda tidak bertindak sedemikian rupa untuk mengancam keamanan Layanan atau Aplikasi, atau sebagaimana HP menentukan perlu untuk menyediakan Layanan atau Aplikasi atau mematuhi hukum yang berlaku.
    • HP memberi individu akses yang wajar ke Data Pribadi yang mereka berikan kepada HP dan kemampuan yang wajar untuk meninjau dan memperbaikinya, atau meminta anonimisasi, pemblokiran, atau penghapusan (sebagaimana berlaku). Untuk melindungi privasi dan keamanan anda, kami juga akan mengambil langkah-langkah yang wajar untuk memverifikasi identitas anda, seperti mewajibkan kata sandi dan ID pengguna, sebelum memberikan akses ke Data Pribadi anda. Untuk melihat dan mengubah Data Pribadi yang anda berikan secara langsung kepada HP, anda dapat mengakses dan mengubah informasi akun pribadi anda dengan menginformasikan kepada tim Manajemen Ritel negara setempat. Anda juga dapat menghubungi narahubung yang dimaksud di bawah ini.
    • Perjanjian untuk Kontrak Secara Elektronik. Penggunaan Layanan dan Aplikasi oleh anda menandakan persetujuan anda untuk membuat kontrak dengan HP secara elektronik. Ini berarti bahwa ketika Anda mengklik tombol untuk menerima Ketentuan Penggunaan ini, Anda menyetujui semua ketentuan dalam Ketentuan Penggunaan ini dengan maksud untuk menandatangani kontrak dengan HP. Selain itu, HP dapat berkomunikasi dengan anda melalui email atau melalui Aplikasi. Anda setuju bahwa semua pemberitahuan dan komunikasi lain yang diberikan HP kepada anda secara elektronik memenuhi persyaratan hukum bahwa komunikasi tersebut dilakukan secara tertulis. Anda menyatakan bahwa anda setidaknya berusia delapan belas tahun dan usia yang diperlukan untuk secara hukum menandatangani kontrak di yurisdiksi tempat tinggal anda dan, jika berlaku, anda diberi wewenang oleh pemberi kerja Anda untuk menandatangani kontrak ini atas nama perusahaan anda.
    • Perjanjian Lainnya. Untuk menggunakan penawaran Layanan dan/atau Aplikasi tertentu, anda mungkin perlu menyetujui syarat dan ketentuan tambahan atau lainnya ("Perjanjian Lainnya"). Tanpa membatasi hal tersebut di atas, aplikasi, atau perangkat lunak lain yang tersedia melalui Layanan dan/atau Aplikasi dilisensikan, bukan dijual, kepada anda. Kecuali ditentukan lain oleh HP, lisensi anda untuk setiap aplikasi dan perangkat lunak lain yang anda peroleh melalui Layanan dan/atau Aplikasi tunduk pada penerimaan anda atas perjanjian lisensi pengguna akhir yang berlaku yang diberikan kepada anda oleh HP untuk perangkat lunak tersebut, kecuali aplikasi atau perangkat lunak lain dilisensikan berdasarkan perjanjian lisensi pengguna akhir terpisah yang dibuat antara anda dan pemberi lisensi pihak ketiga dari perangkat lunak tersebut, dalam hal ini ketentuan perjanjian lisensi pengguna akhir yang terpisah tersebut akan mengatur.
    • Persyaratan Sistem. Penggunaan Layanan dan/atau Aplikasi mungkin memerlukan satu atau lebih dari berikut ini: peralatan yang kompatibel yang diaktifkan untuk koneksi internet, akses nirkabel (jika ada), akses internet, dan perangkat lunak tertentu, dan mungkin memerlukan pembaruan atau peningkatan dari waktu ke waktu, dan persyaratan yang relevan untuk Layanan yang dapat diberitahukan oleh HP kepada Anda dari waktu ke waktu. Kemampuan anda untuk menggunakan Layanan dan/atau Aplikasi dapat dipengaruhi oleh faktor-faktor ini. Anda bertanggung jawab untuk mendapatkan dan memelihara semua peralatan dan layanan yang diperlukan untuk akses ke, dan penggunaan, Layanan dan Aplikasi, dan untuk membayar semua biaya yang terkait dengannya. Jika anda tidak dapat memenuhi Persyaratan Sistem dengan biaya anda sendiri, jangan gunakan Layanan dan/atau Aplikasi, dan satu-satunya jalan anda adalah berhenti menggunakan Layanan dan/atau Aplikasi.
    • Semua komunikasi yang terkait dengan Layanan dan Aplikasi akan diarahkan ke rincian kontak yang diberikan oleh Pengguna sehubungan dengan pendaftaran akun Aplikasi mereka. Pengguna bertanggung jawab untuk terus memperbarui rincian pendaftaran mereka dan informasi lain yang dikomunikasikan kepada HP. Setiap perubahan pada hal yang sama harus dilaporkan kepada Administrator Aplikasi HP REAL secara tertulis melalui email ke appassist.hpreal@hp.com.
  • Modifikasi dan Penghentian
    • difikasi pada Ketentuan Penggunaan ini.
      • HP dapat, atas kebijakannya sendiri, mengubah Ketentuan Penggunaan ini kapan saja dengan memberikan pemberitahuan kepada anda sebagai berikut: setidaknya tiga puluh (30) hari sebelum modifikasi berlaku atau periode yang lebih pendek jika diperlukan untuk terus menyediakan Layanan (kecuali periode yang lebih lama diwajibkan oleh hukum, dalam hal ini periode yang lebih besar tersebut akan berlaku), HP akan memberi tahu anda tentang setiap modifikasi pada Ketentuan Penggunaan dengan mengirim pesan email ke alamat email yang tercantum untuk akun Aplikasi anda, dengan memposting pemberitahuan di Aplikasi, atau dengan cara lain yang diwajibkan dan/atau diizinkan oleh hukum.
      • Jika anda tidak menerima dan/atau menyetujui Ketentuan Penggunaan, jangan gunakan Layanan dan Aplikasi. Satu-satunya jalan anda jika anda tidak menyetujui perubahan apa pun pada Ketentuan Penggunaan ini sebagaimana dimaksud dalam Bagian 3.1 ini adalah berhenti menggunakan Layanan dan Aplikasi, dan membatalkannya dengan mengikuti petunjuk di Bagian 3.8 dokumen ini.
      • Dengan terus menggunakan Layanan dan Aplikasi setelah kami memposting perubahan seperti yang dijelaskan di atas, anda menerima Ketentuan Penggunaan sebagaimana dimodifikasi, pada tanggal efektif modifikasi.
      • Kewajiban HP sehubungan dengan Layanan dan Aplikasi diatur semata-mata oleh Ketentuan Penggunaan ini. Ketentuan tertentu dari Ketentuan Penggunaan ini dapat digantikan oleh pemberitahuan hukum yang ditunjuk secara tegas yang diposting di Aplikasi dan/atau dikomunikasikan kepada anda sebagaimana diwajibkan oleh hukum. Dalam keadaan seperti itu, pemberitahuan hukum yang ditunjuk secara tegas akan dianggap dimasukkan ke dalam Ketentuan Penggunaan ini dan menggantikan ketentuan Ketentuan Penggunaan ini yang ditetapkan sebagai digantikan.
    • Modifikasi pada Layanan.
      • HP, atas kebijakannya sendiri, dapat memodifikasi Layanan atau Aplikasi, atau bagian, versi, atau fiturnya, kapan saja dengan memberikan pemberitahuan kepada anda sebagai berikut: setidaknya tiga puluh (30) hari sebelum modifikasi berlaku atau periode yang lebih pendek jika diperlukan untuk terus menyediakan Layanan (kecuali periode yang lebih lama diwajibkan oleh hukum, dalam hal ini periode yang lebih besar tersebut akan berlaku), HP akan memberi tahu anda tentang modifikasi apa pun pada Layanan atau Aplikasi dengan mengirim pesan email ke alamat email yang tercantum untuk akun Aplikasi Anda, dengan memposting pemberitahuan di Aplikasi, atau dengan cara lain yang diwajibkan dan/atau diizinkan oleh hukum.
      • HP dapat mengakhiri penyediaan Layanan (dan penyediaan Layanan tersebut melalui Aplikasi) kepada anda jika anda secara aktif menolak Layanan, atau jika (jika anda diminta untuk menerima Layanan) anda gagal melakukannya dalam jangka waktu yang ditentukan untuk penerimaan tersebut. Jika anda tidak menerima dan/atau menyetujui modifikasi, maka hentikan penggunaan Layanan dan Aplikasi dan batalkan dengan mengikuti petunjuk di Bagian 3.8 dari Ketentuan Penggunaan ini.
      • Jika, setelah modifikasi Layanan atau Aplikasi, anda tidak mematuhi kewajiban apa pun berdasarkan Ketentuan ini, Layanan dan akses anda ke (atau penggunaan) Aplikasi dapat dihentikan oleh HP atas kebijakannya sendiri dan HP tidak akan bertanggung jawab kepada anda atas modifikasi, penangguhan, atau penghentian Layanan atau Aplikasi.
    • HP berhak untuk menutup akun Pengguna di mana anda tidak lagi memenuhi syarat sebagai Pengguna (sebagaimana didefinisikan di atas).
    • Ketentuan Penggunaan ini berlaku kecuali diakhiri sesuai dengan Ketentuan Penggunaan ini. Ketentuan Penggunaan ini juga akan berakhir dengan ketentuan yang ditetapkan di tempat lain dalam Ketentuan Penggunaan ini.
    • Anda dapat menghentikan penggunaan Aplikasi kapan saja. Untuk menonaktifkan, dan dengan demikian menghentikan, akun Aplikasi anda, hubungi HP melalui tautan Bantuan atau dukungan di Aplikasi, atau hubungi narahubung yang dimaksud dalam Bagian 23 di bawah ini. Harap dicatat bahwa penghentian penggunaan Aplikasi dapat berdampak buruk pada hubungan anda dengan HP, termasuk (namun tidak terbatas pada) insentif anda, kemampuan untuk memenuhi target dan metrik kinerja, kemampuan untuk melaporkan kinerja dan pencapaian secara valid, dan kelayakan untuk berpartisipasi dalam program.
    • Jika terjadi pelanggaran materi, termasuk (namun tidak terbatas pada): (i) pelanggaran hak kekayaan intelektual HP atau orang lain, (ii) di mana perilaku anda berbahaya bagi Pengguna lain atau bisnis HP, (iii) gagal mematuhi Ketentuan Penggunaan ini, atau (iv) menyalahgunakan hak istimewa yang diberikan oleh HP berdasarkan Ketentuan Penggunaan ini, HP akan berhak untuk segera mengakhiri Ketentuan Penggunaan ini (dan akses anda ke Aplikasi dan penerimaan Layanan) dengan pemberitahuan tertulis jika anda gagal memperbaiki pelanggaran dalam jangka waktu tujuh (7) hari setelah diberitahukan secara tertulis tentang detailnya. Keputusan HP bersifat final dan tidak dapat diajukan banding.
    • Pasca-penghentian. Setelah penghentian atau penangguhan akun anda, kami dapat menghapus dan membuang semua konten dan data yang diunggah atau disimpan oleh anda atau atas nama anda melalui Aplikasi. Anda setuju bahwa HP tidak akan bertanggung jawab kepada anda atau pihak ketiga mana pun atas penghentian, atau penolakan, akses ke Aplikasi, atau untuk penghapusan atau penghancuran konten dan data anda, atau atas kegagalan untuk memberi tahu anda tentang hal yang sama. Setelah penghentian akun Aplikasi anda (apakah penghentian tersebut adalah hasil dari penghentian oleh anda atau oleh HP), hak apa pun yang diberikan kepada anda berdasarkan Ketentuan Penggunaan ini akan berakhir dan anda harus segera menghentikan semua akses ke dan penggunaan Aplikasi dan perangkat lunak terkait.
  • Pengiriman Data & Perwakilan Tambahan Anda
    • Pernyataan Tambahan Anda. Dengan menggunakan Layanan dan/atau Aplikasi, anda dengan ini menyatakan dan menjamin bahwa:
      • anda memiliki hak, kapasitas, dan wewenang hukum dari setiap entitas yang disebutkan di halaman pendaftaran untuk masuk ke dalam Ketentuan Penggunaan ini dengan HP, dan terikat secara hukum oleh ketentuannya;
      • setiap dan semua informasi yang anda berikan kepada HP sehubungan dengan Layanan dan/atau Aplikasi (termasuk (tanpa batasan) konten, data, dan Data Pribadi) adalah benar, akurat, dan lengkap, dan anda akan memberi tahu HP tentang setiap perubahan pada informasi tersebut. Setiap penyampaian informasi yang tidak akurat, tidak lengkap, atau palsu akan merupakan pelanggaran kewajiban anda berdasarkan Ketentuan Penggunaan ini dan dapat mengakibatkan tindakan hukum oleh HP dan/atau penghentian akses anda ke Aplikasi dan penerimaan Layanan. Jika anda tidak setuju dengan informasi yang berkaitan dengan Anda yang ditangkap dan/atau ditampilkan di Aplikasi, anda harus segera melaporkannya kepada perwakilan HP atau manajer pelaporan anda;
      • anda tidak boleh terlibat dalam aktivitas yang kasar atau tidak pantas sehubungan dengan Layanan atau Aplikasi, atau membuat permintaan dukungan dalam jumlah tinggi yang tidak wajar.
      • anda bertanggung jawab untuk menjaga kerahasiaan kata sandi akun Aplikasi anda; anda bertanggung jawab penuh atas semua aktivitas yang terjadi di bawah kata sandi atau akun anda; anda setuju (a) untuk tidak membagikan kata sandi anda, (b) tidak membiarkan orang lain mengakses kata sandi anda atau melakukan hal lain yang dapat membahayakan keamanan kata sandi anda, dan (c) segera memberi tahu HP tentang penggunaan kata sandi anda yang tidak sah atau pelanggaran keamanan lainnya yang terkait dengan Aplikasi atau Layanan. HP berhak meminta anda untuk mengubah kata sandi anda jika HP yakin bahwa kata sandi anda tidak lagi aman; dan
      • ada bertanggung jawab penuh untuk mendapatkan dan memelihara: (a) koneksi jaringan yang menghubungkan jaringan anda ke sistem HP, serta firewall, metode otentikasi, dan metode enkripsi yang dianggap tepat oleh HP; dan (b) perangkat keras anda yang terletak di situs anda dan/atau digunakan sehubungan dengan Layanan dan/atau Aplikasi. HP tidak bertanggung jawab atas keandalan atau kinerja koneksi atau perangkat keras apa pun.
    • Tidak bertanggung jawab atas materi pihak ketiga. Konten, data, aplikasi, layanan, produk, dan materi lain tertentu yang tersedia melalui Layanan dan Aplikasi mungkin berasal dari pihak ketiga atau mungkin termasuk materi dari pihak ketiga. Anda setuju bahwa HP tidak bertanggung jawab atas konten, aplikasi, layanan, produk, atau materi pihak ketiga lainnya (secara kolektif disebut "Materi Pihak Ketiga"). HP tidak menjamin atau mendukung, dan tidak akan memiliki kewajiban atau tanggung jawab lain atas, Materi Pihak Ketiga mana pun. Penggunaan anda atas Materi Pihak Ketiga tersebut sepenuhnya merupakan risiko anda sendiri dan dapat tunduk pada syarat dan ketentuan tambahan dengan penyedia Materi Pihak Ketiga. PASAL 4.2 INI TUNDUK PADA PENGECUALIAN DAN PEMBATASAN YANG DITETAPKAN DALAM PASAL 16 DAN AKAN BERLAKU SEJAUH DIIZINKAN OLEH HUKUM YANG BERLAKU.
    • Pengguna harus mengunggah detail yang diperlukan terkait dengan target penjualan bulanan yang berlaku (jika ada) menggunakan templat Aplikasi yang relevan (atau templat yang diberikan kepada Pengguna oleh HP atau Afiliasinya) satu (1) minggu kalender sebelum dimulainya setiap bulan kalender baru.
    • Jika Pengguna memiliki metrik atau target kinerja penjualan yang berlaku, Pengguna tersebut harus menyerahkan kepada HP rincian kinerja penjualan mereka (termasuk rincian setiap penjualan yang dilakukan yang berkontribusi pada kinerja penjualan secara keseluruhan) melalui Aplikasi dalam waktu tiga (3) hari kalender setelah tanggal faktur penjualan pengguna akhir yang relevan.
    • Pengguna yang merupakan bagian dari HP Extended Sales Force harus menyerahkan kepada HP rincian waktu di mana mereka memulai dan mengakhiri shift mereka atau bekerja sebagai anggota tim HP Extended Sales Force (juga dikenal sebagai: Waktu Check In / Check Out) melalui Aplikasi setiap hari (kecuali untuk hari non-kerja, termasuk hari libur nasional dan hari cuti).
    • Pengguna yang merupakan bagian dari HP Extended Sales Force harus menyerahkan kepada HP rincian kapan mereka akan cuti melalui Aplikasi setidaknya 5 hari sebelum tanggal cuti tersebut dimulai. Untuk menghindari keraguan, persyaratan ini adalah untuk memberi tahu HP tentang cuti yang akan datang untuk tujuan perencanaan dan pemantauan tenaga kerja. HP tidak terlibat dalam menyetujui atau memberikan cuti semacam itu.
    • HP akan memvalidasi setiap data yang dikirimkan melalui Aplikasi melalui sistem backend-nya.
    • Setiap kegagalan untuk mengunggah data atau detail sebagaimana disyaratkan di atas dapat berdampak buruk pada pencapaian (atau kemampuan untuk mencapai) target kinerja atau metrik yang relevan (misalnya penjualan yang tidak dilaporkan secara tepat waktu mungkin tidak dihitung dalam target kinerja yang relevan) dan, oleh karena itu, hak anda atas insentif apa pun.
  • Dasbor dan Laporan
    • Terlepas dari ketentuan lain dalam Ketentuan Penggunaan ini, ketersediaan dan konten Dasbor di Aplikasi dan laporan di Aplikasi dapat berubah atas kebijakan HP sendiri.
    • Anda tidak boleh mengunggah entri data duplikat, karena hal ini dapat mengakibatkan kiriman anda ditolak dan/atau tidak dihitung dalam metrik atau target kinerja anda yang berlaku.
  • Ganti Rugi
    • Anda setuju untuk mengganti kerugian, membela, dan membebaskan Pihak HP dari dan terhadap setiap dan semua klaim, kewajiban, kerusakan, kerugian, biaya, pengeluaran, dan biaya (termasuk, tanpa batasan, biaya pengacara yang wajar) yang mungkin ditanggung oleh Pihak HP tersebut sebagai akibat dari atau yang timbul dari pelanggaran anda terhadap Ketentuan Penggunaan ini (atau siapa pun yang menggunakan akun Aplikasi anda).
    • HP berhak untuk mengambil pembelaan dan kontrol eksklusif atas masalah apa pun yang tunduk pada ganti rugi oleh anda dan, dalam hal ini, anda setuju untuk bekerja sama dengan pembelaan HP atas klaim tersebut.
  • Ganti Rugi
    • Tautan dari Layanan dan Aplikasi ke situs web pihak ketiga disediakan semata-mata untuk kenyamanan anda. Jika anda menggunakan tautan ini, anda akan meninggalkan Aplikasi. HP tidak mengontrol, dan tidak bertanggung jawab atas, situs web pihak ketiga tersebut (atau produk, layanan, konten, atau materi lain yang tersedia melalui mereka), dan tidak mendukung atau membuat pernyataan apa pun tentang situs web pihak ketiga tersebut dan produk, layanan, konten, atau materi lain yang disediakan melalui mereka. Pernyataan Privasi HP tidak berlaku di situs web pihak ketiga dan HP tidak bertanggung jawab atas penggunaan informasi Anda oleh situs web pihak ketiga. Jika anda memutuskan untuk mengakses situs web pihak ketiga yang ditautkan dari Layanan atau Aplikasi, anda melakukannya sepenuhnya dengan risiko anda sendiri dan mungkin tunduk pada syarat dan ketentuan tambahan.
  • Merek dagang
    • “HP REAL”, “HP REAL App”, “HP”, dan nama, slogan, atau logo produk atau layanan lainnya yang terkandung dalam Layanan atau dalam Aplikasi adalah merek dagang HP dan pemasok atau pemberi lisensinya dan tidak boleh disalin, ditiru, atau digunakan, seluruhnya atau sebagian, tanpa izin tertulis sebelumnya dari HP atau pemegang merek dagang yang berlaku.
    • Anda tidak boleh menggunakan metatag atau teks tersembunyi lainnya yang menggunakan nama, merek dagang, atau nama produk atau layanan, HP tanpa izin tertulis sebelumnya dari HP. Selain itu, tampilan dan nuansa Aplikasi (termasuk, namun tidak terbatas pada, semua header halaman, grafik khusus, ikon tombol, dan skrip) adalah merek layanan, merek dagang, dan/atau pakaian dagang HP dan tidak boleh disalin, ditiru, atau digunakan (seluruhnya atau sebagian) tanpa izin tertulis sebelumnya dari HP.
  • Hak Kekayaan Intelektual.
    • Anda tidak akan mendapatkan, berdasarkan penggunaan Layanan atau Aplikasi oleh anda, hak kepemilikan hak cipta, paten, rahasia dagang, merek dagang, atau hak kekayaan intelektual lainnya yang dimiliki oleh HP.
    • Anda tidak boleh merekayasa balik, mendekompilasi, atau membongkar Layanan atau Aplikasi, kecuali dan hanya sejauh hak untuk melakukannya diamanatkan berdasarkan hukum yang berlaku terlepas dari batasan ini atau secara tegas diatur dalam Ketentuan Penggunaan ini.
  • Prosedur Mengajukan Klaim Pelanggaran.
    • HP menghormati hak kekayaan intelektual orang lain. Sesuai dengan hukum yang berlaku, HP telah menerapkan prosedur untuk menerima pemberitahuan tertulis tentang pelanggaran hak cipta yang diklaim dan untuk memproses klaim tersebut sesuai dengan hukum tersebut. Jika anda yakin hak cipta atau hak kekayaan intelektual anda lainnya dilanggar oleh Pengguna Layanan atau Aplikasi, harap berikan pemberitahuan tertulis kepada agen HP berikut atau pihak lain yang ditunjuk untuk pemberitahuan klaim pelanggaran:

  • Penggunaan yang Dilarang
    • Anda setuju untuk tidak menggunakan Layanan (termasuk, tanpa batasan, konten apa pun yang mungkin Anda peroleh melalui penggunaan Layanan) atau Aplikasi: (a) dengan cara yang melanggar undang-undang, peraturan, aturan, perintah, perjanjian, atau hukum lain dari yurisdiksi lokal, negara bagian, nasional, asing, atau internasional; (b) untuk menguntit, melecehkan, atau menyakiti individu lain, termasuk, tanpa batasan, melalui penyalahgunaan mekanisme pelaporan atau pelaporan pelanggaran apa pun yang tersedia melalui Layanan atau Aplikasi; (c) untuk menyamar sebagai orang atau entitas mana pun atau salah menggambarkan afiliasi Anda dengan seseorang atau entitas; atau (d) untuk mengganggu atau mengganggu Layanan atau Aplikasi atau server atau jaringan yang terhubung ke Layanan atau Aplikasi.

  • Konten yang Dilarang
    • Anda bertanggung jawab penuh atas konten yang anda atau siapa pun yang menggunakan akun Aplikasi anda buat, posting, transmisikan, distribusikan, cetak, atau simpan melalui Layanan atau Aplikasi.
    • Anda tidak boleh menggunakan Layanan atau Aplikasi untuk membuat, memposting, mengirimkan, mendistribusikan, mencetak, atau menyimpan konten yang diyakini atau diyakini secara wajar oleh HP: (a) kasar, menipu, pornografi, cabul, memfitnah, memfitnah, menyinggung, atau tidak pantas; (b) terdiri dari materi berhak cipta yang digunakan tanpa izin tertulis dari pemilik atau melanggar hak kepemilikan orang lain; (c) melanggar atau melanggar hak orang lain; (d) mengandung virus, worm, file yang rusak, Trojan horse atau bentuk kode koruptif lainnya, atau konten lain yang dapat membahayakan Layanan atau Aplikasi; (e) menganjurkan aktivitas ilegal; (f) meretas, mengacaukan, atau mengadaptasi Layanan atau Aplikasi, atau mengubah situs web lain untuk secara keliru menyiratkan bahwa situs web tersebut berafiliasi dengan Layanan atau Aplikasi; (g) menggunakan sarana otomatis apa pun (termasuk robot, spider, atau skrip) untuk mengakses Layanan atau Aplikasi; (h) menyiarkan atau mengirim segala bentuk iklan, komunikasi massa, atau ajakan kepada pengguna Layanan atau Aplikasi; (i) melecehkan atau merugikan siapa pun; (j) Anda tidak memiliki hak untuk menyediakan berdasarkan hukum atau hubungan kontraktual atau fidusia apa pun; (k) dengan sengaja atau tidak sengaja melanggar hukum yang berlaku; (l) dapat membuat HP bertanggung jawab secara hukum; atau (m) menyediakan tautan ke salah satu hal di atas ("Konten yang Dilarang").
    • HP memiliki kebijaksanaan tunggal untuk menentukan apakah konten adalah Konten Terlarang. Tanpa pemberitahuan sebelumnya kepada Anda, konten apa pun dapat diperiksa dan dapat diungkapkan kepada penegak hukum atau untuk memenuhi undang-undang, peraturan, atau permintaan pemerintah apa pun (termasuk, tanpa batasan, kepatuhan terhadap surat perintah, perintah pengadilan, dan panggilan pengadilan).   • Pelestarian Konten Asli Anda
    • Anda memahami bahwa penggunaan Aplikasi oleh Anda dapat melibatkan (a) mentransmisikan konten dan data melalui berbagai jaringan, dan (b) perubahan pada konten dan data agar sesuai dan beradaptasi dengan persyaratan teknis jaringan atau perangkat yang menghubungkan. Anda harus selalu menyimpan konten dan data asli anda atau membuat salinan cadangan dari konten dan data tersebut di sistem anda sendiri. Anda tidak boleh menggunakan Layanan atau Aplikasi sebagai satu-satunya repositori untuk konten dan data anda.
  • Perjanjian Lisensi Pengguna Akhir (EULA)
    • Tanpa mengurangi ketentuan lain dari Ketentuan Penggunaan ini, penggunaan Aplikasi oleh anda juga tunduk pada syarat dan ketentuan Perjanjian Lisensi Pengguna Akhir, yang dapat ditemukan di sini: EULA.
  • PENOLAKAN JAMINAN
    • KECUALI SEJAUH DILARANG OLEH HUKUM:
      • LAYANAN DAN SITUS (TERMASUK APLIKASI) DISEDIAKAN "SEBAGAIMANA ADANYA" DAN "SEBAGAIMANA TERSEDIA", DENGAN SEMUA KESALAHAN; HP SECARA TEGAS MENYANGKAL SEMUA JAMINAN DALAM BENTUK APA PUN, BAIK TERSURAT, TERSIRAT, MENURUT UNDANG-UNDANG, ATAU LAINNYA, SEHUBUNGAN DENGAN LAYANAN DAN APLIKASI (TERMASUK, NAMUN TIDAK TERBATAS PADA, JAMINAN TERSIRAT ATAU MENURUT UNDANG-UNDANG TENTANG KELAYAKAN UNTUK DIPERDAGANGKAN, KESESUAIAN UNTUK PENGGUNAAN ATAU TUJUAN TERTENTU, KEPEMILIKAN, DAN NON-PELANGGARAN HAK KEKAYAAN INTELEKTUAL);
      • TANPA MEMBATASI KEUMUMAN YANG DISEBUTKAN DI ATAS, HP TIDAK MENJAMIN BAHWA LAYANAN ATAU APLIKASI AKAN MEMENUHI KEBUTUHAN ANDA ATAU BAHWA LAYANAN ATAU APLIKASI TIDAK AKAN TERGANGGU, TEPAT WAKTU, AMAN, ATAU BEBAS DARI KESALAHAN, ATAU BAHWA CACAT DALAM LAYANAN ATAU APLIKASI AKAN DIPERBAIKI; HP TIDAK MEMBERIKAN JAMINAN ATAS HASIL YANG MUNGKIN DIPEROLEH DARI PENGGUNAAN LAYANAN ATAU APLIKASI, KEAKURATAN ATAU KEANDALAN INFORMASI APA PUN YANG DIPEROLEH MELALUI LAYANAN ATAU APLIKASI, ATAU MENGENAI KEAKURATAN PENCETAKAN YANG DIAKTIFKAN MELALUI LAYANAN;
      • TIDAK ADA SARAN ATAU INFORMASI, BAIK LISAN MAUPUN TERTULIS, YANG DIPEROLEH ANDA MELALUI LAYANAN ATAU APLIKASI ATAU DARI HP, INDUKNYA, ANAK PERUSAHAAN, ATAU PERUSAHAAN AFILIASI LAINNYA (ATAU PEJABAT, DIREKTUR, KARYAWAN, ATAU AGEN MASING-MASING DARI ENTITAS TERSEBUT) (SECARA KOLEKTIF, "PIHAK HP") YANG AKAN MENCIPTAKAN JAMINAN APA PUN; DAN
      • MEMBATASI HAL TERSEBUT DI ATAS, HP TIDAK AKAN BERTANGGUNG JAWAB ATAS KEHILANGAN DATA ATAU KONTEN LAIN, MALFUNGSI, KESALAHAN, CRASH, ATAU EFEK BURUK LAINNYA YANG MUNGKIN TERJADI DARI PENGGUNAAN LAYANAN ATAU APLIKASI OLEH ANDA.
    • ANDA MEMAHAMI DAN MENYETUJUI BAHWA PENGIRIMAN KONTEN, DATA, ATAU MATERI LAIN MELALUI APLIKASI, DAN PENGUNDUHAN ATAU PENGUNGGAHAN KONTEN, DATA, ATAU MATERI LAIN MELALUI APLIKASI, DILAKUKAN ATAS KEBIJAKSANAAN DAN RISIKO ANDA SENDIRI DAN BAHWA ANDA AKAN BERTANGGUNG JAWAB PENUH ATAS KEHILANGAN ATAU KERUSAKAN KONTEN ATAU DATA ANDA, ATAU KERUSAKAN APA PUN PADA SISTEM KOMPUTER ATAU PRINTER ANDA ATAU HILANGNYA KONTEN ATAU DATA, YANG MUNGKIN DIAKIBATKAN OLEH PENGUNDUHAN ATAU PENGUNGGAHAN KONTEN, DATA, ATAU MATERI LAIN MELALUI LAYANAN, APLIKASI, ATAU SEBALIKNYA DARI PENGGUNAAN LAYANAN ATAU APLIKASI OLEH ANDA.

  • BATASAN TANGGUNG JAWAB
    • SEJAUH DIIZINKAN OLEH HUKUM, DALAM KEADAAN APA PUN HP TIDAK AKAN BERTANGGUNG JAWAB ATAS KERUSAKAN APA PUN ATAS HILANGNYA PENDAPATAN, KEHILANGAN KEUNTUNGAN, KEHILANGAN NIAT BAIK, KEHILANGAN PENGGUNAAN, GANGGUAN BISNIS, KERUSAKAN TIDAK LANGSUNG, KHUSUS, INSIDENTAL, ATAU KONSEKUENSIAL APA PUN, YANG TIMBUL DARI ATAU DENGAN CARA APA PUN TERKAIT DENGAN LAYANAN ATAU APLIKASI (TERMASUK, TANPA BATASAN, PENGGUNAAN, KETIDAKMAMPUAN UNTUK MENGGUNAKAN, ATAU HASIL PENGGUNAAN LAYANAN ATAU APLIKASI ATAU KONTEN ATAU MATERI LAIN YANG TERSEDIA MELALUI LAYANAN ATAU APLIKASI ATAU SEHUBUNGAN DENGAN LAYANAN ATAU APLIKASI, ATAU PELANGGARAN KEAMANAN ATAU KESALAHAN YANG TERKAIT DENGAN LAYANAN ATAU APLIKASI), APAKAH KERUSAKAN TERSEBUT DIDASARKAN PADA JAMINAN, KONTRAK, KESALAHAN, UNDANG-UNDANG, ATAU TEORI HUKUM LAINNYA, DAN BAHKAN JIKA HP TELAH DIBERITAHU ATAU SEHARUSNYA MENGETAHUI KEMUNGKINAN KERUSAKAN TERSEBUT. ANDA SELANJUTNYA SETUJU BAHWA, KECUALI DILARANG OLEH HUKUM, DALAM KEADAAN APA PUN KEWAJIBAN MAKSIMUM AGREGAT HP YANG TIMBUL DARI SEGALA JENIS KLAIM DENGAN CARA APA PUN YANG TERKAIT DENGAN LAYANAN ATAU APLIKASI TIDAK AKAN MELEBIHI SETARA DENGAN US$5,00.
  • Pengecualian dan Batasan
    • Beberapa yurisdiksi tidak mengizinkan: (a) pengecualian jaminan tersirat atau pembatasan durasi jaminan tersirat, dan/atau (b) pengecualian atau pembatasan jenis kerusakan tertentu. Oleh karena itu, penafian dan/atau pembatasan dan/atau pengecualian di atas mungkin tidak berlaku untuk anda secara keseluruhan.
    • Jika HP gagal mematuhi Ketentuan Penggunaan ini, HP bertanggung jawab atas kerugian atau kerusakan yang Anda derita yang merupakan akibat yang dapat diperkirakan dari HP melanggar Ketentuan Penggunaan ini atau HP gagal menggunakan kehati-hatian dan keterampilan yang wajar, tetapi HP tidak bertanggung jawab atas kerugian atau kerusakan yang tidak dapat diperkirakan.     • HP tidak mengecualikan atau membatasi dengan cara apa pun tanggung jawab kami kepada anda jika melakukannya akan melanggar hukum. Ini termasuk tanggung jawab atas: (a) kematian atau cedera pribadi yang disebabkan oleh kelalaian kami atau kelalaian karyawan, agen, atau subkontraktor kami, atau (b) penipuan atau kekeliruan yang curang.
    • Jika anda menggunakan Layanan atau Aplikasi untuk atau sehubungan dengan tujuan komersial, bisnis, atau penjualan kembali, HP tidak akan bertanggung jawab kepada anda atas hilangnya keuntungan, kehilangan bisnis, gangguan bisnis, atau hilangnya peluang bisnis.
  • Kepatuhan terhadap hukum, termasuk undang-undang ekspor
    • Anda setuju untuk mematuhi semua hukum dan peraturan yang berlaku.
    • Tanpa membatasi hal tersebut di atas, dengan menggunakan Layanan atau Aplikasi, anda bertanggung jawab atas kepatuhan terhadap kontrol ekspor AS dan negara lain yang berlaku serta undang-undang dan peraturan lain yang berlaku ("Undang-Undang Ekspor").     • Tanpa membatasi hal tersebut di atas, anda setuju bahwa anda tidak akan menggunakan Layanan atau Aplikasi untuk mengekspor atau mengekspor kembali materi apa pun, termasuk (tanpa batasan) data teknis: (a) ke negara-negara yang diembargo di AS, atau (b) kepada siapa pun dalam daftar Warga Negara yang Ditunjuk Secara Khusus oleh Departemen Keuangan AS atau Tabel Penolakan Pesanan Departemen Perdagangan AS.     • Jika anda memilih untuk mengakses atau menggunakan Layanan atau Aplikasi di luar negara tempat Anda tinggal atau berada, atau negara setempat anda ditentukan pada saat pendaftaran (jika berlaku), (a) Anda setuju untuk mematuhi semua hukum dan peraturan yang berlaku di mana anda menggunakan Layanan dan Aplikasi yang tersedia; dan (b) anda setuju bahwa anda bertanggung jawab atas setiap dan semua kerusakan, dan HP tidak akan bertanggung jawab, atas penggunaan anda atas Layanan atau Aplikasi yang tersedia dalam bahasa Inggris atau dalam bahasa lain di mana HP dapat menyediakan Layanan atau Aplikasi.
  • Subkontraktor
    • Sehubungan dengan Layanan dan Aplikasi, HP dapat menggunakan pusat data pihak ketiga untuk menyimpan, memantau, dan memelihara peralatan perangkat keras tempat informasi anda (termasuk, namun tidak terbatas pada, konten dan data yang Anda kirimkan melalui Aplikasi) disimpan ("Pusat Data"). HP juga dapat menggunakan subkontraktor berdasarkan Ketentuan Penggunaan ini dalam pelaksanaan Layanan dan penyediaan Aplikasi.
      Sehubungan dengan semua subkontraktor yang digunakan HP sehubungan dengan Layanan dan penyediaan Aplikasi ("Vendor Pihak Ketiga"), HP akan memikul tanggung jawab dan tanggung jawab yang sama atas perilaku dan kinerja subkontraktor seolah-olah HP sendiri melakukan semua layanan subkontraktor. Anda tidak akan dikenakan biaya, biaya, atau biaya tambahan apa pun sehubungan dengan subkontrak apa pun.
  • Hukum yang Mengatur
    • Ketentuan Penggunaan ini akan ditafsirkan di bawah, dan diatur oleh, hukum Singapura, tanpa memperhatikan pilihan prinsip hukum atau pertentangan aturan hukum. Para pihak dengan ini tidak dapat ditarik kembali tunduk pada yurisdiksi pengadilan Singapura.
  • Seluruh Perjanjian & Umum
    • HP dapat memperbarui Pengguna tentang perubahan insentif yang berlaku, pencapaian Pengguna, program, dan berita lainnya melalui pencapaian Aplikasi.
    • Dalam kasus penipuan, HP dapat membatalkan dan/atau mengakhiri kontrak dengan Pengguna.
    • Anda tidak boleh mengungkapkan atau membagikan informasi apa pun mengenai Layanan atau Aplikasi, termasuk Ketentuan Penggunaan, pencapaian, atau materi terkait lainnya, dengan pihak ketiga.
    • Ketentuan Penggunaan dan ketentuan HP lain yang berlaku yang secara tegas dirujuk dalam Ketentuan Penggunaan ini atau dalam Aplikasi, merupakan seluruh pemahaman antara Anda dan HP terkait dengan Layanan dan Aplikasi dan akan menggantikan komunikasi, pernyataan, atau perjanjian sebelumnya baik lisan maupun tertulis.
    • Kegagalan HP untuk menggunakan hak apa pun berdasarkan Ketentuan Penggunaan ini tidak akan merupakan pengabaian hak tersebut.
    • Anda tidak boleh mengalihkan Ketentuan Penggunaan ini berdasarkan hukum atau lainnya. Semua Afiliasi HP adalah penerima manfaat pihak ketiga sehubungan dengan ketentuan dalam Ketentuan Penggunaan ini yang mengacu pada mereka. Kecuali secara tegas ditentukan dalam Ketentuan Penggunaan ini, seseorang yang bukan merupakan pihak dalam Ketentuan Penggunaan ini (sebagaimana berlaku antara anda dan HP) tidak memiliki hak berdasarkan Undang-Undang Kontrak Singapura (Hak Pihak Ketiga) 2001 untuk menegakkan ketentuan apa pun, atau menikmati manfaat apa pun di bawah, Ketentuan Penggunaan ini.
    • Judul bagian dalam Ketentuan Penggunaan ini hanya untuk kenyamanan dan tidak memiliki efek hukum atau kontraktual.
    • Jika ada ketentuan dari Ketentuan Penggunaan ini yang dinyatakan tidak sah oleh pengadilan dengan yurisdiksi yang kompeten, para pihak setuju bahwa pengadilan harus berusaha untuk memberlakukan niat Para Pihak sebagaimana tercermin dalam ketentuan tersebut, dan ketentuan lain dari Ketentuan Penggunaan akan tetap berlaku dan berlaku penuh.
    • Semua ketentuan dalam Ketentuan Penggunaan ini yang menurut sifatnya akan tetap berlaku setelah penghentian (termasuk, namun tidak terbatas pada, yang terkait dengan tanggung jawab Pihak HP dan hukum dan tempat yang berlaku) akan tetap berlaku setelah penghentian.
